EDM Train LLC ("we" or "us") – Our company in which this Agreement is entered into with.

EDM Train Application ("our Application") – The website and services provided by edmtrain.com, as well as services provided by our mobile applications.

Client ("you") – The company you represent and have the legal authority to enter into this Agreement with.

Client Application ("your Application") – Any websites, applications, services, or code that is owned by the Client.

EDM Train API ("our API") – The services provided by us to allow you to retrieve information from us in accordance with this Agreement.

EDM Train Data ("our Data") – Any content provided by our Application, or our API, such as event details.

This agreement ("Agreement") contains the terms and conditions ("Terms") that represent a legally binding agreement between EDM Train LLC and the Client. We are under no obligation to enter into this Agreement with the Client. By using our API, the Client is accepting all of the terms and conditions set forth here. You warrant that you have the full legal authority and right to enter into this Agreement on behalf of the Client.

We reserve the right to modify the terms and conditions in this Agreement. The latest version of this Agreement will be posted here. Please review the latest Agreement periodically. Your continued use of the API shall constitute your agreement with such modifications.

Solely in accordance with this Agreement, we grant you a limited, non-exclusive, non-transferable license to integrate our API into your Application. All rights not explicitly granted in this Agreement are reserved by us. Any provision that is not enforced shall not constitute a waiver of that provision.

You may not sell or lease access to our Data, or sell or lease access to your Application's integration of our Data. Upon acceptance of this Agreement, we will assign you a client API key which will allow you to access our API. You may not share your client API key with any other parties.

For each event displayed, you must provide your users with the event link from our API's response, unmodified. If your Application doesn't display events, then you must provide a link to https://edmtrain.com in a public part of your Application which relies on our Data the most.

You may download and display our logo located here. References to our Application should be stylized as "Edmtrain", "edmtrain", or "EDMTRAIN". Don't put a space in between edm and train e.g. "edm train". Don't partially capitalize e.g. "EDMtrain" or "EDMTrain".

If you are caching our Data, it should not be older than 24 hours old when it is displayed. Any of our Data for events that are no longer in the future should not be stored.

You may not use our API to develop an application or service that competes with our Application.

To help protect our systems, we may limit the number of API requests your Application can make in a given period. We may change these limits at our sole discretion. You may not make any attempt to circumvent these limits. You may request a limit increase if your Application legitimately requires a higher limit.

You may not integrate our API into your Application if your Application is illegal in any nature. You may not integrate our API into your Application in a way that may reflect poorly on us as determined by our sole discretion.

You may not copy, reproduce, distribute, publish, display, perform, modify, create derivative works, transmit, or in any way exploit any code or content obtained from our Application outside of our API.

In the future, we may make changes to our API that may not be backward compatible. If we believe you are impacted by such a change, we may attempt to notify you of such changes. Your continued use of the API shall constitute your agreement with such changes. We reserve the right to discontinue our API completely without any liability to you.

Nothing in these Terms indicates a partnership or joint venture between us and you. You may not misrepresent or exaggerate your relationship with us. You may not bid on keywords pertaining to the EDM Train brand, such as "EDM Train" or "Edmtrain". We reserve the right to publicly mention our relationship to you, and post a summary of your Application and logo at our sole discretion.

This Agreement does not create an exclusive relationship between us. You acknowledge that we may develop applications or services that are similar or competitive to your Application. We may also permit others to develop applications that are similar or competitive to your Application.

You acknowledge that we may store the information you submit when applying for a client API key. Any personally identifiable information will not be shared with any third parties unless reasonably necessary due to a legal action. We may share statistics on your Application's usage of our API.

This Agreement may be terminated at any time by either party without cause and without notice. If either party terminates this Agreement, then you must remove our Data from your Application.

You agree to indemnify and hold harmless EDM Train LLC and its partners, affiliates, subsidiaries, members, officers, and employees from all claims, losses, damages, and expenses.

WE DO NOT WARRANT THAT OUR APPLICATION OR ANY CONTENT, MATERIALS, FEATURES, OR SERVICE OF OUR APPLICATION WILL BE ERROR-FREE, UNINTERRUPTED, OR PROVIDE YOU WITH SPECIFIC RESULTS.

THE CONTENT, MATERIALS, FEATURES, AND SERVICES ON OUR APPLICATION ARE PROVIDED "AS-IS", "WITH ALL FAULTS", AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING, BUT NOT LIMITED TO, THOSE OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, WORKMANLIKE EFFORT, NON-INFRINGEMENT, AND SATISFACTORY QUALITY. YOU AGREE THAT YOU SHALL BE SOLELY RESPONSIBLE FOR ANY USE OR MISUSE OF THE INFORMATION AND SERVICES PROVIDED ON OR THROUGH OUR APPLICATION AND FOR COMPLIANCE WITH ALL LAWS APPLICABLE TO SUCH USE.

EDM TRAIN LLC AND ITS PARTNERS, AFFILIATES, SUBSIDIARIES, MEMBERS, OFFICERS, AND EMPLOYEES SHALL HAVE NO LIABILITY TO YOU UNDER ANY THEORY OF LIABILITY INCLUDING BUT NOT LIMITED TO CONTRACT, TORT OR OTHERWISE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, EXEMPLARY OR OTHER DAMAGES ARISING OUT OF YOUR USE OR INABILITY TO USE OUR APPLICATION, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUES, LOSS OF PROFITS OR LOSS OR CORRUPTION OF DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

You agree that your compliance with these Terms is subject to our interpretation. The headings used in this Agreement shall not be used in evaluating the contents of each section.

Any provision of this Agreement that is deemed to be invalid or illegal shall be omitted, while the remaining provisions shall remain in full effect.

This Agreement is governed by and shall be construed in accordance with the laws of the State of New Jersey.
